1. INTRODUCTION

These Terms of Use and End User License Agreement (collectively, the “Agreement”), together with all referenced documents, constitute a legally binding agreement between you (“you,” “your,” or “user”) and Zvezda Tech LLC(“we,” “us,” or “our”) concerning your access to and use of the “Ciao” mobile application (the “App”). The App’s name may vary by country and is subject to change without notice.

Please read this Agreement carefully before downloading, installing, or using the App. By doing so, you agree to be bound by the terms of this Agreement. If you do not agree, do not access, download, install, or use the App and delete it from your device.

2. CHANGES TO THIS AGREEMENT

We may update this Agreement at any time. You are responsible for reviewing it regularly. Continued use of the App after changes are posted signifies acceptance of the revised Agreement.

3. ELIGIBILITY

You must be the age of majority in your jurisdiction to use the App. If you are under 18, you must have permission and supervision from a parent or guardian. Children under 13 may not use the App.

4. GENERAL USE

The App provides real-time voice and text translation for personal, non-commercial use. Use the App only for lawful, appropriate purposes.

5. PRIVACY POLICY

Use of the App is subject to our Privacy Policy. By using the App, you consent to how we process your data as outlined in that policy. If you disagree with any part, stop using the App.

6. LICENSE

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App in accordance with this Agreement. All intellectual property rights in the App remain with Zvezda Tech LLC and its partners. You may not copy, modify, distribute, or reverse-engineer the App.

7. THIRD-PARTY AI TECHNOLOGIES

The App may integrate third-party AI services for translation, including:

OpenAI

Google Cloud Translation & Speech-to-Text APIs

These services disclaim warranties related to translation results. 

8. PROHIBITED USES

You agree not to use the App for unlawful, abusive, offensive, or infringing purposes, or in any way that harms others. You may not copy, distribute, reverse-engineer, or use the App for commercial or malicious purposes.

9. AVAILABILITY AND COMPATIBILITY

The App requires an internet connection and compatible iOS device (iOS 14.0+). Offline functionality is available for saved translations. App availability and performance may vary and are not guaranteed.

10. CHARGES AND SUBSCRIPTIONS

The App is free to download with 1-day free trial to access all features. Further access to Premium features requires a subscription. A 1-day free trial is offered, after which a weekly or monthly plan will auto-renew unless cancelled at least 24 hours before the end of the trial. Subscription management is handled via your Apple ID settings. Uninstalling the App does not cancel your subscription.

11. THIRD-PARTY LINKS

The App may link to third-party sites or services. We are not responsible for their content or your interactions with them. Use them at your own risk and in compliance with their terms.

12. NO WARRANTIES

The App is provided “as is” and “as available.” We disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose, accuracy, and reliability. Translations are not guaranteed to be 100% accurate. Some features may be for entertainment purposes only.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we are not liable for any damages resulting from your use of the App, including indirect, incidental, or consequential damages. You assume full responsibility for how you use the App and any AI-generated content.

14. APPLE AS THIRD-PARTY BENEFICIARY

Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce its terms.

15. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of Nevada, USA. All disputes must be resolved exclusively in the courts of Nevada. You agree to waive participation in class actions. Prior to filing a claim, both parties must engage in a 60-day resolution dialogue.

16. TERMINATION

We may terminate this Agreement at any time. Upon termination, your license ends and you must cease use of the App.

17. SEVERABILITY

If any part of this Agreement is found to be invalid or unenforceable, the remaining parts will remain in effect.
